Basic Policy for the Management of Conflicts of Interest

Mizuho REIT Management Co., Ltd. (the Company) will, based on the Policies Regarding Mizuho’s Fiduciary Duties, establish and announce the policy as a basic policy concerning the Company’s management of conflicts of interest (the Policy).

1. Purpose

Upon execution of business concerning the investment corporation’s asset management for which asset management is entrusted to Mizuho REIT Management Co., Ltd. (the “Investment Corporation’s Asset Management Business”), the Company will establish the Policy in an aim to identify acts that have the possibility of conflicts of interest, define basic policies for specific responses and appropriately manage such conflicts of interest, based on the Policies Regarding Mizuho’s Fiduciary Duties.

2. Details of Conflicts of Interest

The Company defines acts that have the possibility of conflicts of interest upon the Investment Corporation’s Asset Management Business as situations in which acts of transactions, etc. are conducted between the investment corporation and the Company’s related parties when the Company executes the Investment Corporation’s Asset Management Business. The Company establishes interested party transaction rules and specifically categorizes certain transactions that have the possibility of such conflicts of interest as “interested party transactions.”

3. Response Policy

Upon execution of the Investment Corporation’s Asset Management Business, regarding transactions between the investment corporation and the Company’s related parties, the Company shall not only investigate the presence or absence of legal issues, but also carry out duty of care, duty of loyalty and other duties at concerned transactions as the consignee of the business related to the asset management of the investment corporation and manage conflicts of interest complying with interested party transaction rules.

(1) Interested parties of the Company

The Company defines broader than what is stipulated as interested parties in the Articles 201 Clause 1 of the Act on Investment Trusts and Investment Corporations in interested party transaction rules.

(2) Methods to manage conflicts of interest

The Company will make decisions through strict internal procedures based on interested party transaction rules when conducting interested party transactions.

(3) Continuous Improvement

The Company shall continuously endeavor to improve conflicts of interest management including revisions, etc. of interested party transaction rules.

4. Revisions of the Policy

Contents of the Policy will be applied from the date it is posted on the website. The Policy may be revised without prior notice in case requested by laws and regulations, etc. or when the Company believes such is necessary.
